These Terms and Conditions (“Terms”) govern access to and use of Prospeno, including its websites, web application, mobile applications, documentation, modules, and related services (collectively, the “Service”).
Prospeno is provided by Lifes Awesome Ventures Inc., with business address at Balulang, Cagayan de Oro City 9000, Misamis Oriental, Philippines (“Prospeno,” “we,” “us,” or “our”).
By creating an account, creating or administering a company workspace, accepting these Terms electronically, or using the Service, you agree to these Terms. If you use the Service for a company or other organization, you represent that you are authorized to accept these Terms and administer the workspace on its behalf.
If you do not agree, do not register for or use the Service.
1. Definitions
- Company means the organization, business, contractor, or other entity whose workspace is created in Prospeno.
- Company Admin means an Authorized User designated to administer a Company workspace.
- Authorized User means an individual permitted by a Company to use its workspace.
- Customer Data means information, files, records, photographs, receipts, project details, attendance information, quotations, billing information, and other content submitted to or generated through a Company workspace.
- Paid Module means an optional feature separately enabled, subscribed to, or purchased in addition to the core platform or a base subscription plan.
- Subscription means a paid plan or Paid Module made available for a recurring or stated billing period.
3. The Service
Prospeno is a project-profit and field-operations platform designed for contractors and other project-based businesses. Depending on the plan, enabled modules, assigned role, and current availability, the Service may support project records, labor and attendance, expenses and receipts, materials and requisitions, quotations, approvals, budget releases, liquidation, billing, collections, reporting, field activity, and related workflows.
Features may differ by subscription plan, Paid Module entitlement, user role, project assignment, platform, device capability, geographic availability, or product version.
The Service is an operational tool. It is not accounting, tax, legal, engineering, payroll, banking, investment, or other professional advice. Prospeno is not a certified point-of-sale system unless expressly stated for a separately released feature.
4. Customer responsibility for records and decisions
The Company remains responsible for:
- the accuracy and completeness of Customer Data;
- verifying project figures, quotations, expenses, collections, margins, payroll-related information, tax treatment, and reports;
- deciding who may access the workspace and what permissions they receive;
- complying with labor, employment, tax, accounting, procurement, safety, privacy, and industry requirements;
- maintaining source documents and legally required business records;
- reviewing outputs before relying on them for material decisions; and
- obtaining appropriate professional advice where needed.
Prospeno calculations, projections, alerts, and dashboards depend on Customer Data, configuration, status selections, enabled modules, and user actions. They may be incomplete or inaccurate when underlying records are incomplete, delayed, duplicated, incorrectly classified, or not yet approved.
Prospeno does not guarantee project profit, collection, compliance, business results, or recovery of losses.
5. Accounts and security
Each Authorized User must use their own account unless a supported shared-device workflow, such as an authorized kiosk, is expressly provided.
You are responsible for maintaining credential confidentiality, using reasonable device security, preventing unauthorized account use, promptly disabling departed or unauthorized users, reviewing assignments, and notifying us of suspected unauthorized access.
We may require email verification, password resets, multi-factor verification, CAPTCHA, device checks, or other security measures.
You must not share credentials in a way that bypasses user accountability or role restrictions.
6. Company administration and roles
Company Admins control Company users, projects, assignments, enabled modules, and internal access within the options provided by the Service.
The Company is responsible for determining who should be assigned as an Admin, Manager, Supervisor, Employee, or other supported role. Application permissions help enforce access boundaries, but the Company remains responsible for internal authorization decisions and timely access reviews.
A Company Admin may be able to view, manage, export, or delete Customer Data according to available features and applicable restrictions.
7. Attendance, selfies, location, and field records
Where enabled, attendance or field workflows may process check-in and checkout times, assigned project or work location, photographs or selfies used as evidence, device and submission information, notes, reports, task updates, receipts, evidence files, and location information used to verify an attendance action.
Attendance geofencing is optional and Company-configurable. When enabled for a location or project, a user may be required to be within the configured area to complete check-in. Geofencing is not intended as continuous background employee tracking.
Location and device signals may be unavailable, delayed, or inaccurate. The Company remains responsible for reviewing exceptions and maintaining fair workplace procedures.
The Company must provide appropriate notices to workers and establish a lawful basis for processing workplace, attendance, selfie, evidence, and location data. Users must not falsify attendance, manipulate device location, submit another person’s evidence, or circumvent field controls.
8. Customer Data and ownership
As between Prospeno and the Company, the Company retains its rights in Customer Data.
The Company grants us a limited, non-exclusive license to host, store, reproduce, transmit, display, back up, organize, and otherwise process Customer Data only as reasonably necessary to provide, secure, maintain, support, and improve the Service; prevent fraud or abuse; and comply with lawful instructions and obligations.
The Company represents that it has the rights, permissions, notices, and lawful basis needed to submit Customer Data and instruct us to process it.
You must not upload unlawful content, malware, content that infringes third-party rights, or personal information you are not authorized to process.
9. Privacy and data processing
Our processing of personal information is described in the Prospeno Privacy Policy.
Depending on the data and relationship, Lifes Awesome Ventures Inc. may act as a personal information controller for account administration, billing, platform security, support, legal acceptance, and service operations; and may act as a personal information processor or service provider for Company-managed employee, project, attendance, expense, and operational data.
The Company is responsible for its own privacy notices, lawful basis, data-subject handling, and instructions concerning Company-managed personal information.
10. Plans, Paid Modules, limits, and entitlements
The Service may offer free and paid plans. Plans may include limits on users, active projects, completed-project retention, storage, usage, or other resources.
Paid Modules may be separately subscribed to or enabled. A base plan, including a Pro plan, does not automatically include every Paid Module unless expressly stated at purchase.
Current features, prices, limits, and module inclusions are shown in the Service or on the pricing page and may change prospectively.
Attempting to bypass plan limits, Paid Module gating, usage metering, or access restrictions is prohibited.
11. Fees, wallet, billing, and taxes
Paid subscriptions and modules are billed according to the pricing and billing period presented at purchase.
Where a wallet or prepaid balance is supported, wallet balances may be used only for permitted Prospeno charges, are not bank deposits, do not earn interest, and may be subject to payment-provider processing. Refunds, reversals, expiry, or transferability follow the terms displayed for the relevant transaction and applicable law.
Fees may exclude taxes unless stated otherwise. The Customer is responsible for applicable taxes, withholding, reporting, and payment obligations, except taxes imposed on our income.
We may suspend paid functionality for failed payment, insufficient balance, chargeback, abuse, or material billing default, subject to reasonable notice where practical.
12. Free plans, trials, and promotions
Free plans, trials, beta access, credits, and promotions may be subject to limits and may change or end.
A feature offered without charge during testing or promotion is not guaranteed to remain free.
Before losing access due to plan limits, cancellation, or expiry, the Company should export needed information where export is available. We will not intentionally remove access without reasonable process, except where immediate action is needed for security, abuse, or legal compliance.
13. Quotations and generated documents
Quotation, proposal, report, and document features are tools for preparing business documents.
The Company is responsible for verifying items, quantities, technical specifications, supplier costs, availability, markups, discounts, taxes, totals, scope, exclusions, warranties, validity, payment terms, and customer and project details.
A document is not accepted by a customer merely because it was generated, shared, or marked with a status in Prospeno.
14. Optional artificial intelligence features
If optional artificial intelligence features are released and enabled:
- AI output may be inaccurate, incomplete, or inappropriate;
- AI does not replace professional judgment;
- users must review generated scopes, exclusions, reports, analyses, and drafts before applying or sharing them;
- Prospeno calculations and approved records remain authoritative over AI-generated statements;
- relevant submitted context may be processed by an AI service provider;
- usage may be metered, limited, or charged separately; and
- AI features may require an underlying Paid Module.
AI features must not be used to make unlawful employment, credit, safety, or other high-impact decisions without appropriate human review.
15. Acceptable use
You must not:
- use the Service unlawfully or fraudulently;
- access or attempt to access another Company’s data;
- defeat authentication, role permissions, Paid Module gating, plan limits, or security controls;
- introduce malware, harmful code, or disruptive traffic;
- scrape or extract data through unauthorized automated means;
- reverse engineer the Service except where a restriction is prohibited by law;
- probe or test vulnerabilities without written authorization;
- interfere with the Service;
- use the Service for harassment, unlawful surveillance, discrimination, or rights violations;
- upload content without authority;
- resell or sublicense the Service without authorization; or
- use outputs to misrepresent facts or commit fraud.
We may investigate suspected misuse and take proportionate protective action.
16. Third-party services
The Service depends on third-party providers for functions such as hosting, database and authentication, object storage, email, security, analytics, payments, communications, and optional AI processing.
Third-party services may be subject to their own terms, availability, security practices, geographic processing, and service limitations.
We are not responsible for a third-party service outside our reasonable control, but we will use reasonable care in selecting and managing providers appropriate to the Service.
Optional accounting integrations
If a Company enables an optional accounting integration such as QuickBooks Online, connection is subject to the third-party provider's terms and availability. Prospeno may access the connected company identity and eligible Chart of Accounts information solely to configure category-to-account mappings for the Company's workspace. OAuth tokens are encrypted and stored server-side and are not exposed to browsers. The Company may disconnect at any time; disconnecting revokes provider access where supported and removes active credentials from Prospeno. Prospeno does not sell or share integration data across customer companies. Automatic transaction export to QuickBooks is not currently a feature of the Service.
Optional Google Drive integration
If a Company enables Google Drive, Prospeno may create and manage designated Company and project folders and access files used through Prospeno workflows.
Google Drive remains a third-party service governed by Google’s terms, account permissions, storage limits, availability, security practices, and service controls.
The Company is responsible for deciding which authorized users may use the integration and for ensuring that uploaded or selected files may lawfully be processed.
Disconnecting Google Drive stops Prospeno’s active access and removes active OAuth credentials from Prospeno. It does not automatically delete files already stored in the Company’s Google Drive account.
17. Availability, maintenance, and changes
We will use reasonable efforts to operate the Service reliably. However, the Service may experience maintenance, outages, delays, errors, data synchronization issues, or third-party failures.
We do not guarantee uninterrupted, error-free, or always-available operation.
We may update, add, modify, or retire features. Where practical, we will provide reasonable notice of a material reduction to paid functionality. Immediate changes may be made for security, legal compliance, reliability, or abuse prevention.
Preview, beta, and experimental features may be changed or discontinued with less notice.
18. Data export, suspension, and termination
A Company may stop using the Service or request account closure through available settings or support channels.
We may suspend or restrict access where reasonably necessary because of a security threat, unlawful activity, breach, nonpayment, legal instruction, risk to others, or suspected unauthorized access. Where appropriate, we will provide notice and an opportunity to resolve the issue.
Upon termination or closure, access may end. Customer Data may be retained temporarily for recovery, dispute handling, backup cycles, security, or legal obligations. Audit, billing, legal-acceptance, and security records may be retained where reasonably necessary.
Export functionality depends on available product features. The Company is responsible for retaining external copies of information it must preserve.
19. Intellectual property
The Service, software, interface, brand, design, documentation, templates, and platform materials are owned by Lifes Awesome Ventures Inc. or its licensors.
These Terms provide only a limited, revocable, non-transferable right to use the Service according to the applicable plan and Company authorization. They do not transfer ownership.
Feedback may be used to improve Prospeno without obligation, provided we do not publicly identify confidential Customer information without permission.
20. Confidentiality
Each party may receive non-public information that reasonably should be understood to be confidential.
The receiving party will use confidential information only for the relationship, protect it using reasonable care, and disclose it only to persons who need it and are subject to appropriate obligations.
Confidential information excludes information lawfully public, independently developed, lawfully received from another source, or required to be disclosed by law. Where permitted, the receiving party will provide notice before compelled disclosure.
21. Disclaimers
To the extent permitted by law, the Service is provided on an “as available” basis.
Reports, projections, margins, balances, alerts, schedules, attendance indicators, and other outputs depend on Customer Data and configuration. We do not warrant that they are complete, accurate, suitable for every purpose, or compliant with every industry or legal requirement.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
22. Limitation of liability
To the extent permitted by law:
- neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, opportunity, or data, arising from the Service;
- Lifes Awesome Ventures Inc.’s aggregate liability arising from the Service will not exceed the fees paid by the affected Customer for the Service during the twelve months immediately preceding the event giving rise to the claim; and
- for a free account, aggregate liability will not exceed PHP 5,000.
These limits do not apply to liability that cannot lawfully be limited, or to fraud, willful misconduct, or deliberate violation of another party’s rights.
23. Indemnity
The Company will indemnify and hold Lifes Awesome Ventures Inc. harmless from third-party claims, losses, and reasonable costs arising from Customer Data submitted without authority, unlawful use, infringement by Customer Data, violation of law, or material breach caused by the Company or its Authorized Users.
This obligation does not apply to the extent a claim was caused by our own breach, negligence, fraud, or willful misconduct.
24. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines.
Before filing a formal claim, the parties will attempt in good faith to resolve the dispute by written notice and reasonable discussion for at least thirty days, unless urgent protective relief is necessary.
Subject to applicable law and mandatory rights, disputes that cannot be resolved informally will be brought before the appropriate courts of Cagayan de Oro City, Philippines.
25. Changes to these Terms
We may update these Terms to reflect product, legal, security, or business changes.
For material changes, we will provide reasonable notice and may require acceptance of an updated version before continued use.
Minor editorial, formatting, or clarification changes may not require reacceptance.
The effective date and document version identify the current Terms. Electronic acceptance records may be retained as evidence of the version accepted.
26. Assignment
The Company may not assign these Terms without our prior written consent, except as part of a lawful merger, acquisition, or transfer of substantially all relevant assets with notice.
We may assign these Terms as part of a corporate reorganization, merger, acquisition, financing, or transfer of the Service, provided the successor assumes relevant obligations.
27. Severability and waiver
If a provision is held unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.
Failure to enforce a provision is not a waiver.
28. Entire agreement and order of precedence
These Terms, the Privacy Policy, applicable subscription or order details, and any separately signed agreement form the agreement concerning the Service.
If a separately signed agreement expressly conflicts with these Terms, the separately signed agreement controls for that conflict.
